Agreement to terms

These Terms of Use (the “Terms”) govern your access to and use of the Them AI service, websites, and related tools (together, the “Service”) provided by Them Labs, Inc. (“Them,” “we,” “us,” or “our”). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them on behalf of yourself and any organization you represent.

If you do not agree with these Terms, you may not use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

Eligibility and accounts

You must be at least 16 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide when creating an account and for keeping your account credentials confidential.

You are responsible for all activity that occurs under your account, including the actions of members you invite to your workspace. Notify us promptly at legal@usethem.ai if you believe your account has been accessed without authorization.

Beta services

The Service is currently offered as a beta release. It is provided on an “as-is” and “as-available” basis and may contain defects, errors, or incomplete features. We may add, change, suspend, or remove features at any time, and we may modify or discontinue the Service in whole or in part without liability to you.

Because the Service is in beta, we do not offer any service level agreement, uptime commitment, or guarantee of availability. You should not rely on the beta Service as the sole system of record for any critical business function.

Your content and connected sources

You retain all ownership rights in the content you submit to the Service and in the data available through the sources you connect, such as Google Notion, Confluence, web pages, and file uploads (“Your Content”). We do not claim ownership of Your Content.

You grant Them a limited, non-exclusive, worldwide license to access, host, copy, process, transform, and display Your Content solely as needed to operate and provide the Service to you, including distilling content into governed memory, generating citations, and redacting personal information before it reaches a model. This license ends when Your Content is deleted from the Service, subject to standard backup cycles.

You represent and warrant that you have all rights, consents, and authority necessary to connect each source and to allow us to process Your Content as described. You are responsible for ensuring that connecting a source does not violate any agreement, policy, or law that applies to you.

Acceptable use

Your use of the Service must comply with our Usage Policy, which is incorporated into these Terms by reference. The Usage Policy describes prohibited conduct, security expectations, and the limits of what the Service may be used to do. If there is a conflict between these Terms and the Usage Policy on a matter of acceptable use, the Usage Policy controls.

Intellectual property

The Service, including its software, models, design, user interfaces, documentation, and all related intellectual property, is owned by Them or its licensors and is protected by law. These Terms do not transfer any ownership of the platform to you.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of these Terms for your internal business purposes. You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted.

Fees

The Service is free to use during the beta period. We may introduce paid plans in the future. If we do, we will provide advance notice and an opportunity to review the applicable pricing before any charges apply to you. Continued use of a paid feature after it takes effect constitutes acceptance of the associated fees.

Disclaimers of warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that outputs will be accurate or complete, or that redaction, citations, or permissions will work without error. You are responsible for reviewing outputs before relying on them.

Limitation of liability

To the fullest extent permitted by law, Them and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for all claims arising out of or related to the Service during the beta period will not exceed one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Them and its affiliates from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of or related to Your Content, the sources you connect, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may stop using the Service and delete your workspace at any time. We may suspend or terminate your access to the Service if you violate these Terms or the Usage Policy, if required by law, or if we discontinue the Service.

On termination, your right to use the Service ends and we will delete or return Your Content in accordance with our Privacy Policy. Sections that by their nature should survive termination, such as intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute that is not subject to binding arbitration, and you consent to venue in those courts.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
